I received the following inquiry today about the creation and assistance of a new club. I believe I have some old files kicking around that I research but I was looking for further insight from some of our clubs that have recently gone through this process.

Please post up items that I may have missed

\ I, along with some people are talking of starting our own 4x4 club (not Jeep Specific) We still want to be valuable and productive members within the 4 wheel drive community. I was hoping that you had a step by step instructions or "creating a club for dumbies" link (easiest way to put it) We would like to work towards getting into orginations like NEA, Treadlightly, UFWDA and getting Incorpoated. We just need to be steered in the right direction.

I have read the links on the NEA web site, but I am looking for something with more details and specifics.

Any help you could provide would be greatly appreciated.


I'm looking for some feed back and information about the following as well as thing I may have missed

* Appoint officers

* Create by-laws

* Club name

* Incorporate

I'm not the expert on the incorporation but there are plenty here that are.

Can I ask for someone to write the incorporation process for MA as well as any links or forms?

I am going to compile all this information for future use and posting on our site

I know MA can all be done on their web site. You will need to start with getting a Tax ID from the IRS. I also know MA wants to see the bylaws.

1. Choose Officers
2. Get Tax ID number
3. Create Bylaws (borrow ours or some clubs and adust as needed)
4. File with town you are doing business out of. (?)
5. File non-profit incorporation papers with MA Sec. of State
6. When you get your papers back from the state open bank account in the name of the non-profit.

I am not the expert in MA. I am a NH guy and have only set up a NH non-profit. The IRS will make you a 501(c)7. This a social club.

They should designate a person to complete this form and then they can either call or mail it in. I would call it in. The IRS rep. will ask for all the info on the form so that it is why it is good to have it completed and in front of you.

The IRS will give them an EIN and will send them documentation verifying the info.

You can apply for a Tax ID number online with the IRS also...https://sa1.www4.irs.gov/modiein/individual/index.jsp

That's fairly painless and instantaneous, they provide you with a .pdf of the SS-4 form with the number at the end of the process.


After you have a Tax ID #...in Mass you can submit your Articles of Incorporation...you can do that online as well: https://corp.sec.state.ma.us/corp/FilingForms/0300013.asp?stage=DataInput

Thats a good resource and I have these items covered.

The information I'm getting together is for incorporation process and a obtaining a tax id. Each state has different rules for the incorporation process , this is the specific information I'm trying to compile

We have a 25 member minimum that we bill you for your dues. The state does not care how small your club is.

that's good the reason i ask is that we love to wheel and some time it get crazy if 20 to 30 jeeps show up i was thinking of a smaller that way the hole club get to enjoy so realy all you need is 5 board of directors any we can go whit about 10 sounds great now will the cost of starting a club be less for less members in it ?? thanks for the input much appreciated

The start up costs for a club are generally fixed and won't change with the number of members you have.

The state filing fees for non-profits are fixed ($30-$40 depending on the state).
Domain names, web hosting, forum costs, if you go that direction, are fixed.

Personally (having just done it), I wouldn't think it's worth the trouble of starting a club, incorporating, drafting bylaws, opening bank accounts, etc. would be worth if for a club as small as 10 members. But that's just me. :)

I'm filling out the articles of organization for NTC as a non-profit corporation, and right now we only have a President and 2 officers. Is there any issue with me being listed for multiple roles on this form? I am acting as President, Treasurer, and Secretary right now.

I tried to submit it, but it came up with an error that I needed to list a "clerk" and a "director" Is Mass gonna throw a flag at me being listed for those as well?

You shouldn't have an issue at all, although I think Treasurer and President need to be different. Regardless of that, if you're elected to that position, you have the right to be the signor.

MA clubs - alert - don;t forget the deadline for filing annual corporate status update was Nov 1st.
You can go to mass.gov/sec, click on corporate info and complete it online. New fees for everything. File for each year you missed, if applicable.
And update your officers FIRST.

Pretty sure this is for any non-profit on an IRS level. Good call on a reminder. I think they send out reminder cards or something.

I got a reminder from MA saying, "Do or die!"

The process is very quick and easy, just try to have all the directors' names and addresses ready before you log in.
To log in, you need your pin and account. Mine was printed on the post card reminder.

On the federal level, all non-profits of any size need to file annually with the IRS, a 'post card filing.'

Bumping an old thread.

In the process of incorporating and does anyone know if a club is looked at differently than a business? I can't find any info on that. I can find a ton of info on how to incorporate a business though.

A club is typically incorporated as a non-profit classification whereas most businesses would be classified under a for profit classification such as LLC, Corporation, etc. Is that what you mean?

IRS 501(c)7 social club is easiest, and it is a business.
